Contracting parties, scope
Object
Speechi Connect is an all-in-one solution for the optimal management and use of interactive displays, focusing on personalization, security and a seamless user experience.
These Terms of Use (hereinafter “TOU”) govern access to and use of the Speechi Connect solution (hereinafter “Speechi Platform”), as well as the respective rights and obligations of platform users and the Publisher in connection with the use of the solution.
The Speechi Platform is a Software as a Service (SAAS) solution, published and managed by Wouarf, SAS registered with the Lille Métropole Trade and Companies Registry (Siren number 449 742 667), head office located at 12 rue de Weppes, 59800 Lille, France (hereinafter “Speechi” or “the Publisher”), accessible via the URL www.connect.speechi.com (hereinafter “the Service” or “the Platform”).
By accessing, browsing and/or creating an account on the Platform, you (hereinafter the “User”) agree to be bound by these TU, which are directly applicable to you throughout your use of the Service.
Service access conditions
The User may browse the Platform by creating a user account to access the Speechi Service and the features it offers (hereinafter “Services”). Registration is required to access this service.
To create an account on the Platform, the User enters his/her e-mail address and receives a password. The User will then receive an e-mail confirming the creation of his/her user account with an automatically generated password; the User may then change the suggested password by clicking on the link provided for this purpose.
Access to the Speechi Platform is restricted to adults, i.e. persons aged 18 or over, with a valid user account.
Platform content
Once registered and logged in to their user account, the Platform allows users to access Speechi Services. Key features of the Speechi Connect platform include, but are not limited to:
- Advanced interactive screen management: control and manage applications, customize user environments and define how interactive screens are used for efficient management.
- User administration and security: facilitates management of user access to screens, including access rights and security protocols specific to screen interaction.
- Versatile user experience: offers a consistent, intuitive user experience on interactive screens, compatible with Android and Windows systems, to suit a variety of user contexts.
- Personalized workspace: provides a dedicated space for each user, enabling individualized access to screens and secure data sharing in a protected environment.
- Work continuity: ensures that every user can find his or her workspace and personal data, regardless of the interactive screen used.
- Secure connection: guarantees easy, secure connection to interactive displays, simplifying access while ensuring data security.
- Connected applications and services: enrich the interactive screen experience with a suite of connected applications and services designed to extend the possibilities of use and collaboration.
These features may evolve as Speechi Connect is updated.
Platform management
The Publisher may, at any time, in order to ensure the proper management of the Services :
- Suspend, interrupt or limit access to all or part of the Services,
- Delete any information that may disrupt the operation of the Speechi Platform or contravene any applicable national or international laws or regulations,
- Suspend access to the Speechi platform for updates.
Rights, obligations and responsibilities
User rights and obligations
Access to Services. The User may use the Services 24 hours a day, 7 days a week, including Sundays and public holidays, except during periods of maintenance by Speechi. Speechi does not guarantee the permanent and continuous availability of the Services.
Registration. The User is required to provide accurate and complete information when registering and to keep this information up to date. The User undertakes to rectify any inaccurate data. Speechi cannot be held responsible for defects or damage caused by incorrect information supplied by the User.
Unauthorized use. The User undertakes to notify Speechi immediately of any unauthorized use of login details, passwords and accounts by contacting dedicated support at support@speechi.com.
User responsibilities
The User is solely responsible for the confidentiality of his/her login details for his/her personal user account. Speechi shall not be liable for the use of the Speechi Platform by any person other than the User or a person authorized by the User, using the User’s username and password.
The User undertakes to inform Speechi without delay of any loss or disclosure of login details, and to request immediate renewal of said means of authentication.
Any action carried out from the User’s account will be deemed to have been carried out by the User and may incur the User’s liability. The User shall be liable for any loss, damage or expense incurred by Speechi or any third party resulting from the use of the User’s account by a third party.
If the User is associated in any way whatsoever with the fraudulent use of a User account, Speechi may delete the User’s account, following notification by e-mail or by post with acknowledgement of receipt.
In general, the User is responsible for the security of the individual workstations used to access the Platform.
Use prohibited. The User undertakes to use Speechi Connect in accordance with the laws in force and good morals. The User is prohibited from :
- Have several accounts,
- Publish degrading, offensive or defamatory content, in particular on the media and social networks, relating to the Services,
- Usurp the identity of another person or entity in order to deceive, confuse or mislead others,
- Fraudulently access or remain on the Speechi Platform, alter or hinder the operation of the Speechi Platform, for example by introducing viruses or any other program likely to cause damage and/or harm to the data of the Service / Speechi Platform,
- Use Speechi Connect for illegal, fraudulent or harmful activities, or for any illegal, unlawful, malicious or discriminatory purpose,
- Collect information about other Users, harm other Users, directly or indirectly.
Speechi’s responsibilities
Speechi shall not be liable for any loss, damage, liability or expense, even indirect, resulting from any negligence or breach of these TU by the User or any third party.
Speechi shall not be liable for any interruption of access to the Services or the Speechi Platform and the consequences thereof for the User.
Furthermore, Speechi will not be held responsible in the event of :
- Failure of the User to provide a valid e-mail address;
- Incorrect or illegal use of the Platform by the User;
- Inaccuracy of information on the Platform provided by third parties or links to other websites.
Speechi shall not be held liable for any guarantee, implicit or explicit, relating in particular to the integrity, accuracy, updating, non-infringement, availability, reliability or completeness of the information or Services available on the Platform, or their suitability for the use the User intends to make of them.
Speechi will not be liable for any consequential damages arising from the use of Speechi Connect. In any event, Speechi’s liability is limited to direct and foreseeable damage for which it is directly responsible.
Speechi ensures that its Services do not contain any hypertext links to websites or pages with illegal content. It will take all necessary steps to remove them without delay. However, Speechi cannot be held liable beyond this obligation.
Intellectual property
All trademarks, photographs, texts, comments, illustrations, images (whether animated or not), video sequences, sounds, contractual documents, editorial and informative texts, computer applications used to operate the Speechi website and platform, and in general all elements reproduced or used on the Speechi website and platform are protected by applicable intellectual property laws.
They are the full, complete and exclusive property of Speechi or its suppliers.
As such, all right, title, interest and intellectual property rights in the Speechi Platform, including but not limited to copyrights, trademarks, patents and trade secrets, are owned by Speechi or its suppliers.
Speechi reserves the right to protect the Speechi Platform from unauthorized use or distribution by using security measures such as password authentication or similar technologies.
Users are authorized to use the Speechi Platform exclusively for their own commercial and operational activities. This is a simple right of use. The user shall comply with the terms of this agreement with respect to the use of Speechi software, in particular with respect to the specified limitations on access and use.
The License granted to the User is personal, non-exclusive, non-transferable, non-assignable, for the exclusive use of the User, and without the right to grant sub-licenses.
Speechi may offer various configurations or packages of services, including specific limitations on the period, scope and number of users permitted under this License.
Access to and use of the Speechi Platform in SAAS mode is provided via the cloud, relieving the User of any need to manipulate object or source code.
Speechi aims to make the Speechi Platform available in as many languages and in as many countries as possible, subject to legal and technical restrictions.
Any use of the Speechi Platform beyond the rights explicitly granted in this agreement is prohibited without the prior written consent of Speechi. This includes, but is not limited to, reproducing, representing, modifying, translating, adapting, even partially, for a fee or free of charge, the Speechi website and Platform and each of the elements that make them up, as well as creating derivative works, selling, distributing or making the service available on a public network in violation of the terms of this agreement.
Consequently, Users are not authorized to attempt to modify, translate or create derivative works based on the Speechi Platform. The User agrees not to redistribute, resell, rent or sublet the Speechi service without the prior written consent of Speechi.
The Publisher’s failure to take action when it becomes aware of unauthorized use does not constitute acceptance of such use or a waiver of such action.
Data processing
When using the Services, from creating a user account to using the Platform, Speechi may collect, receive, access and process personal data. As such, Speechi is responsible for data processing as defined by personal data protection regulations.
Speechi recognizes the crucial importance of the security and protection of its users’ personal and professional data. In order to guarantee the transparency of its data security practices and commitments, Speechi has implemented technical and organizational measures to protect data against unauthorized access, disclosure, alteration or destruction.
For a detailed description of the security measures employed by Speechi, as well as our practices regarding the collection, use, sharing and protection of personal data, and to exercise their rights, Users are invited to refer to the “Security and Data Protection” document.
The “Data Security and Protection” document also details the User’s rights regarding access, correction and deletion of personal data, and provides information on how the User may exercise his or her rights.
Speechi is committed to respecting personal data protection standards and to regularly updating its practices to ensure data security. In the event of changes to the data security policy, users will be informed by e-mail at the address used to connect to the Services or by consulting the latest version of the “Security and Data Protection” document via the link below.
Users can have their account deleted by contacting support at support@speechi.com.
For any questions or concerns regarding data security at Speechi, the User may contact Speechi via privacy@speechi.com.
Managing user-generated content
Users can generate content via the Speechi Connect solution. Speechi stores and transmits this content solely for the purpose of providing the service to the User. The User is responsible for ensuring that such content is legal and that he/she holds the necessary rights to use and share it.
User data is kept only as long as is necessary to achieve the purposes for which it was collected, in accordance with legal requirements. Speechi details the criteria for determining this period in the “Data Security and Protection” document.
Users may transfer data from their account to another account, subject to the following conditions:
- The transfer must be made directly via the Speechi Platform, using the procedures put in place by Speechi to ensure a secure and compliant transfer.
- In the event of a complete transfer of data, the User undertakes, once the transfer has taken place, to delete or deactivate all personal access to the Speechi service and not to retain any copy of the information or data accessible via the service.
- The transfer of data includes all associated rights and obligations. The partial transfer of rights of use, such as specific rights for a given number of users, is prohibited.
- The User must obtain a written agreement from the transferee (“the Beneficiary”), in which the latter undertakes to comply with the terms of these Terms of Use (TU).
- Any transfer must be definitive, with no possibility for the User to subsequently recover the rights to use the Speechi service.
Service performance and availability
Speechi undertakes to provide the Speechi Connect service in accordance with the performance and availability levels defined in the associated Service Level Agreement (SLA). This agreement details Speechi’s specific commitments in terms of service uptime, performance and incident response.
The Service Level Agreement (SLA) is available for consultation at https://support-connect.speechi.com/en/legals/sla/. Speechi invites users to read this agreement to understand the service standards offered and the measures taken in the event of non-compliance.
In the event of non-compliance with the commitments defined in the SLA, Speechi undertakes to follow the remediation and compensation procedures specified in the SLA. This clause does not exclude or limit the User’s rights to pursue other available legal remedies.
Speechi reserves the right to modify the Service Level Agreement (SLA) at its sole discretion. Users will be informed of any significant changes in good time.
CU modifications
Speechi reserves the right to modify and update these TU at any time without notice.
Users will also be notified of substantial changes via the e-mail address provided by the User to log in to their user account and their continued use of the service constitutes acceptance of the new TU.
Nevertheless, in order to be informed of such modifications, Speechi recommends that the User regularly reads the TU.
Use of the Speechi Connect Platform is therefore subject to the TU in force at the time of use.
If any provision of these TU is held invalid or declared invalid by any law, regulation or court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Dispute resolution
Any dispute relating to the use of Speechi Connect shall be governed by French law.
In the event of a claim, complaint, dispute or disagreement, the User may also contact Speechi at support@speechi.com.
The User and Speechi will endeavour to find an amicable solution before any dispute is submitted to the competent court.
In the absence of agreement or in the event of failure to find an amicable solution within a reasonable time, the dispute will be submitted to the competent courts of the Lille Métropole jurisdiction in France.
